PROPOSED AMENDMENTS TO ARTICLES OF INCORPORATION
Article XVI, Section 1 of the NACM Bylaws sets forth the requirements for amending the Articles of Incorporation. A key provision requires that:
Notice setting forth the proposed amendment or a summary of the changes to be effected thereby shall be provided to the membership at least thirty (30) and not more than ninety (90) days in advance of the meeting.
During this notice period, members may be permitted to comment on the proposed amendment.
PROPOSED AMENDMENTS TO BYLAWS
Article XVI, Section 2 of the NACM Bylaws sets forth the requirements for amending the Bylaws. Subparagraph b requires that:
Notice setting forth the proposed amendment shall be provided to the membership at least thirty (30) days and not more than ninety (90) days in advance of a meeting.
During this notice period, members may be permitted to comment on the proposed amendment.
The following proposals were posted for comment by members. The proposal related to Article I was put forth for a vote by membership at the Annual Meeting and passed.
